TRANSACTION PROCEDURES

JPInternational Opportunity LLC coordinates all transactions as Mandated Representative of the Seller (Refinery).

A. TANK TAKE OVER (TTO) PROCEDURE

  1. Buyer issues Irrevocable Corporate Purchase Order (ICPO) with Guarantee Letter to take over the Product.
  2. Refinery issues draft Memorandum of Understanding (MOU) for buyer to counter-sign and return.
  3. Refinery acknowledges the signed MOU.
  4. Refinery sends documents for Buyer confirmation:
    Seller’s Registration Certificate
    Bill of Lading
    Vessel/Tanker Details
    Product Passport/Dip-Test
    Proforma Invoice
    Cargo Manifest
    Cargo Ullage Report
    Q88 Form
  5. Buyer confirms documents and may arrange independent verification or dip test.
  6. Refinery releases fresh Dip-Test Authorization (DTA).
  7. Refinery coordinates as per NCNDA/IMFPA.

B. FOB TANK TO VESSEL TRANSACTION PROCEDURE

  1. Buyer issues official ICPO addressed to refinery or representative.
  2. Refinery issues Commercial Invoice (CI); Buyer signs and returns.
  3. Refinery provides Partial Proof of Product (PPOP): ATSC, DTA, Statement of Product Availability, Commitment Letter.
  4. Buyer extends refinery tank for 3 days, receives GPS coordinates, Hub Numbers, terminal access, and conducts dip test.
  5. Product handling continues as per refinery instructions.

C. FOB TANK TO TANK PROCEDURE

  1. Buyer issues LOI with purchase requirements, KYC, and corporate documents.
  2. Refinery issues FCO; Buyer issues ICPO accepting price, terms, and TSA.
  3. Refinery drafts SPA and Commercial Invoice; Buyer signs and returns.
  4. Refinery provides PPOP documents: Authorization to Sell, Product Quality Passport, Commitment Letter, Statement of Availability.
  5. Buyer provides Tank Storage Receipt (TSR) within 3 days.
  6. All parties sign NCNDA/IMFPA.
  7. Refinery issues fresh SGS report (≤48 hrs) and DTA with Fuel Injection Report.
  8. Buyer optionally conducts dip test; procedures continue as per refinery.

D. FOB TRANSACTION PROCEDURE (TTT)

  1. Buyer issues ICPO, company registration, and ID/passport.
  2. Refinery issues Commercial Invoice and ICC Warning Letter; Buyer tank farm verified.
  3. Refinery leases tank as per agreed duration; Buyer conducts inspection/dip test.
  4. Refinery provides injection report, product passport, SGS report, tank storage receipt, and other verification documents.

E. COST, INSURANCE, AND FREIGHT (CIF) TRANSACTION PROCEDURE

Procedure 1:

  1. Buyer issues ICPO with banking references, CP, Company Registration, authorized signatory passport, RWA Letter.
  2. Refinery issues amendable SPA and Proforma Invoice with NCNDA/IMFPA.
  3. Buyer signs and returns documents.
  4. Refinery issues Proof of Product (POP): Product Passport, Certificate of Origin, SGS, DTAOB, Cargo Manifest, Authorization to Sell.
  5. Buyer verifies POP.
  6. Refinery coordinates as per NCNDA/IMFPA.

Procedure 2:

  1. Buyer issues ICPO referencing CIF procedure and company registration.
  2. Refinery issues SPA; Buyer reviews, signs, returns within 3 banking days; final SPA sent in PDF; Buyer confirms.
  3. Refinery issues: Commitment to Supply, Statement of Product Availability, Certificate of Origin, Product Passport, ATSC; Buyer confirms within 24 hours.
  4. Refinery arranges chartered freight; three-party CPA signed (Seller, Buyer, Shipping Company); 50/50 cost split.
  5. Refinery releases Proof of Product Documents: Legalized CPA, Injection Report, Allocation Certificates, Export License & Approval, Tank Receipt, Dip Test Authorization.
  6. Refinery coordinates inspection, loading, and shipment as per procedures.
